This Offer governs participation in the Depo Awards – Prague 2026 competition and the related offline exhibition in Prague, Czech Republic. It is specific to this event and, for this event, supersedes any general Depo Awards offer. Personal data is processed as described in the Depo Awards – Prague 2026 Privacy Policy.

Legal status & jurisdiction

  1. This Offer is the official proposal of Depo Place OÜ ("Organizer") to conclude a contract with any natural or legal person who applies to participate in Depo Awards – Prague 2026 (the "Competition"; such person, the "Participant").

  1. Acceptance occurs when the Participant: (a) completes and submits the online application at https://depo.place/awards/Prague2026; (b) uploads the work per the technical requirements; and (c) pays the organisational fee for the relevant category. The contract is concluded at the moment of successful payment, after which the Participant receives an electronic confirmation.

  1. This Offer is public and addressed to an indefinite circle of persons.

  1. Territory of effect — international.

  1. Governing law. This Offer is governed by the law of the Republic of Estonia. Consumer carve-out: Where the Participant is a consumer resident in the EU/EEA, this choice of law does not deprive the Participant of the protection of mandatory provisions of the law of their country of habitual residence (Art. 6 Rome I Regulation).

  1. Jurisdiction. Disputes are subject to the courts of Tallinn (Harju Maakohus), Estonia. Consumer carve-out: A Participant who is an EU/EEA consumer may also bring proceedings in, and may only be sued in, the courts of their own domicile, in accordance with the Brussels I bis Regulation (EU) 1215/2012. This clause does not override that right.

  1. On-site event in Prague. For the physical exhibition in Prague, mandatory Czech rules (including event safety, local consumer protection, and on-site data-protection supervision) apply in addition to and regardless of the governing-law choice above.

  1. The language of this document is English.

Event details

  1. Categories and fees (incl. applicable taxes): [LIST CATEGORIES AND PRICES — e.g. single work €[X]; series of [N] €[Y]]. 3.2. Submission period: [START] – [END]. 3.3. Results announcement: [DATE]. 3.4. Exhibition: [VENUE], Prague, Czech Republic — [DATE(S)]. 3.5. The Organizer may run promotional pricing for limited periods; this is not a breach of this Offer.

Acceptance of the terms

  1. Submitting an application, uploading files, and paying the fee constitutes full and unconditional acceptance of this Offer, the Licence (Section 8), the Ethical Code, and the Privacy Policy.

  1. The Participant confirms that they: have read this Offer; have legal capacity to contract; and submit their own original work or have documented rights to submit it.

  1. Acceptance is given electronically (checkbox "I agree with the Terms & Conditions"); no signed contract is required.

  1. The Organizer may amend this Offer; the current version is always available on the Website and changes apply prospectively, save where law requires otherwise. Material changes will not be applied retroactively to an already-concluded participation.

Subject of the agreement

  1. The Organizer provides the Participant the opportunity to submit a work, undergo curatorial selection, and — if selected — be included in publications, the exhibition, and the catalogue.

  1. The organisational fee is consideration for the administration and curatorial review of the application, not for any outcome, publication, or exhibition. Participation and selection are not guaranteed. Publication results from curatorial selection and is not an automatic consequence of payment.

  1. The Organizer undertakes to: enable submission; register applications after payment; forward works to the jury; include selected works in the programme; preserve author attribution; and inform Participants of results and material changes.

  1. The Participant undertakes to: review all rules and technical requirements; submit only original, non-infringing works; pay the fee; provide accurate data; obtain permissions from depicted persons and rights holders; and refrain from unlawful or unethical content.

Price, payment and consumer right of withdrawal

  1. Payment is made in EUR via integrated providers (card, PayPal, Stripe, or others shown on the Website).

  1. Price transparency (consumers). For Consumers, all prices on the Website are displayed inclusive of all applicable taxes (including VAT) and any mandatory charges, shown before the Consumer is bound. (This replaces the previous "all amounts excluding taxes" wording, which is not permitted for B2C.)

  1. Business participants. For Participants acting in a business capacity, prices may be shown exclusive of VAT, with VAT added as legally applicable; an invoice is issued on request.

  1. The Organizer does not store card numbers or CVV codes; transactions are processed by PCI-DSS-compliant providers.

  1. Consumer right of withdrawal (14 days). A Consumer has the right to withdraw from this contract within 14 days without giving any reason, under Directive 2011/83/EU (Consumer Rights Directive), unless validly waived under 6.6.

  1. Waiver upon immediate performance. Because review of the submission begins immediately, the Consumer is asked, at checkout, to actively tick a separate checkbox confirming:

"I expressly request that Depo Place OÜ begin reviewing my submission immediately, and I acknowledge that I will lose my 14-day right of withdrawal once the service (review of my application) has been fully performed."

Where the Consumer gives this express prior consent and acknowledgement, and the review service is fully performed, the right of withdrawal is extinguished and the fee is non-refundable. Where the Consumer does not tick this box, review does not begin until the 14-day period expires or the Consumer withdraws, and a withdrawing Consumer is refunded.

  1. Refunds. The fee is otherwise refundable only where: (a) the Organizer officially cancels the Competition; (b) a technical/payment error caused a duplicate charge; or (c) mandatory law requires it. Rejection of a work after review does not entitle a refund, because the reviewed service was performed (subject to 6.6).

  1. On cancellation by the Organizer, paid fees are refunded within 30 calendar days to the original payment instrument, less bank fees actually withheld.

  1. The Organizer is not liable for failures of banks, processors, or third-party systems, or for sanctions/currency restrictions affecting payment.

Conditions of participation & selection

  1. Open to photographers, artists, designers, stylists, make-up artists, models, curators and other creatives, regardless of citizenship or residence.

  1. Minimum age: 18. This event is for adults only and is kept entirely separate from any Depo content directed at or involving minors. Works depicting minors are not accepted in this event. [HIGHEST-PRIORITY — counsel to confirm the mandatory barrier between this 18+ event and any child-related Depo activity]

  1. Participation is individual unless a category states otherwise; collective works require all co-authors' written consent.

  1. The Participant warrants that they are the author or hold all rights; have obtained all necessary permissions from depicted persons and rights holders; and have provided accurate data.

  1. Selection is by the curatorial board / jury. Curatorial decisions on artistic merit are final. (This does not exclude a Consumer's mandatory legal remedies.)

  1. The Organizer may verify data and may reject works that breach technical, ethical, legal or copyright requirements.

Licence (copyright)

  1. The Participant retains all copyright (economic and moral) in their works. The Organizer obtains no ownership.

  1. By submitting, the Participant grants the Organizer a non-exclusive, royalty-free, worldwide licence to use the work for the purposes of this Competition and its documentation, namely: publication in Depo Magazine (online/print); display at the Depo Awards – Prague 2026 exhibition; placement on the Website, social media and PR materials of the project; and inclusion in the Depo Awards archive and catalogue.

  1. Duration and withdrawal. The licence lasts for the duration necessary for the Competition and its ongoing documentation/archive. The Participant may withdraw a work before its first publication or exhibition by written notice to hello@depo.place; after first publication, the licence continues for already-published/exhibited materials and archival copies, but the Organizer will not make new uses of a withdrawn work. (This resolves the prior contradiction between an "irrevocable/perpetual" licence and the stated withdrawal right.)

  1. Commercial use beyond the above (e.g. sale, merchandise, third-party advertising) requires the author's separate written consent.

  1. Author attribution accompanies every publication/exhibition.

  1. The Organizer may make technical adaptations (cropping, resizing, format/colour optimisation) without altering the work's essence.

  1. The Participant warrants that the work infringes no third-party rights and that all depicted persons consented to photography and publication.

Content, ethics & removal

  1. Prohibited: unlawful, discriminatory, degrading, or rights-infringing content; any content depicting minors in this event.

  1. The Organizer may remove or refuse a work that breaches these terms and, in case of unlawful content, notify competent authorities.

  1. Any person may report allegedly unlawful or infringing content to hello@depo.place; the Organizer will review notices and, where appropriate, act, and will inform the affected Participant of removals and the reason.

Indemnity & liability

  1. Business participants indemnify the Organizer against losses, fines and legal costs arising from third-party claims relating to their submitted work (copyright, image rights, etc.).

  1. Consumers. A Consumer is liable to the Organizer only for loss caused by the Consumer's own breach, to the extent permitted by mandatory law; blanket indemnity clauses do not apply to Consumers where they would be unfair under Directive 93/13/EEC. (This softens the prior all-encompassing indemnity for Consumers.)

  1. The Organizer is not liable for indirect or consequential damages, save where liability cannot be excluded under mandatory law.

  1. The Organizer ensures reasonable operation of the Website but is not liable for third-party technical failures, payment-system actions, or data loss beyond its control.

Exhibition (Prague)

  1. Selected works may be exhibited in Prague and reproduced in the exhibition space; the event may be photographed/filmed (see Privacy Policy, Section 8).

  1. On force majeure, the Organizer may postpone or reschedule the exhibition and will inform Participants by email; works may be carried to a future exhibition without extra fee.

  1. Shipping, framing or delivery of physical prints (where applicable) is borne by the Participant unless stated otherwise.

Data protection (GDPR)

The Organizer is the data controller. Personal data is processed as set out in the Depo Awards – Prague 2026 Privacy Policy, which forms part of this Offer. Participants' rights and the relevant supervisory authorities (Estonia: AKI; Czech Republic for the on-site event: ÚOOÚ) are described there.

Term, force majeure & notices

  1. This contract takes effect on payment and remains in force until completion of the Competition, except licence and liability provisions, which survive as stated.

  1. On force majeure, the parties are released from liability for the affected period; on resulting cancellation, the Organizer refunds fees or transfers participation to another event.

  1. Notices are exchanged electronically via the Participant's contact details and hello@depo.place.
